These Terms and Conditions ("Terms") govern your use of the BuildMyMVP website and services provided by Orchid Limited ("we", "our", or "us"), a company registered in New Zealand. By accessing our website or engaging our services, you agree to be bound by these Terms.

2. Services

BuildMyMVP provides fixed-price app development services for entrepreneurs and businesses. Our services include but are not limited to:

• Mobile application development (iOS and Android)
• Web application development
• UI/UX design
• App Store and Google Play submission
• Ongoing development and support (where agreed)

3. Scoping and Pricing

All projects begin with a free scoping call. Pricing is determined on a project-by-project basis following this scoping process. Prices quoted are in US dollars unless otherwise stated. We reserve the right to decline projects that fall outside the scope of our service offering.

4. Payment Terms

Payment terms will be outlined in your individual project agreement. Typically, payments are structured in milestones tied to project deliverables. All payments are non-refundable once work on the corresponding milestone has commenced, unless otherwise agreed in writing.

5. Intellectual Property

Upon full payment, you will own the codebase and all custom work produced specifically for your project. This includes:

• Custom application code
• Custom UI designs created for your project
• Project-specific documentation

We retain the right to use general knowledge, techniques, and non-proprietary frameworks developed during the project. We may also reference the project (without sharing confidential details) in our portfolio unless otherwise agreed.

6. Third-Party Services

Your application may use third-party services (e.g., hosting providers, APIs, payment processors). You are responsible for any costs, terms, and conditions associated with these third-party services. We will advise you on the services required during the scoping process.

7. App Store Submissions

We will prepare and submit your app to the relevant app stores (Apple App Store, Google Play). However, approval is at the discretion of the app store operators, and we cannot guarantee acceptance. We will work with you to address any issues raised during the review process.

8. Warranties and Limitations

We warrant that our services will be performed with reasonable skill and care. However:

• We do not guarantee that your application will achieve any particular commercial outcome
• We do not warrant uninterrupted or error-free operation of any software
• Our liability is limited to the fees paid for the specific services giving rise to the claim

9. Confidentiality

We treat all project details and business information shared with us as confidential. We will not disclose your proprietary information to third parties without your consent, except as required by law.

10. Termination

Either party may terminate a project agreement with written notice. In the event of termination:

• You will pay for all work completed up to the termination date
• We will deliver all completed work and assets
• Any unused prepaid amounts may be refunded at our discretion

11. Dispute Resolution

Any disputes arising from these Terms or our services shall be governed by the laws of New Zealand. Both parties agree to attempt to resolve disputes through good-faith negotiation before pursuing formal legal action.

12. Website Use

You agree not to:

• Use our website for any unlawful purpose
• Attempt to gain unauthorised access to our systems
• Reproduce or redistribute our website content without permission

13. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our website or services after changes constitutes acceptance of the updated Terms.
